Scope of These Terms

These Terms apply to the following offerings, each of which may also be governed by additional terms:

• Website parts & supplies purchases: Parts, consumables, and supplies ordered through this website.
• Capital equipment contracts: Extraction and processing equipment purchased under an individual signed sales agreement. That signed agreement governs the purchase and controls in the event of any conflict with these Terms.
• Consulting & engineering services: Professional consulting, engineering, and training services.
• Charlie AI usage: Use of our Charlie AI tools, subject to the AI Usage Disclaimer.
• Support subscriptions: Support hour packages and subscriptions, subject to our Service and Support Terms.

1. Agreement to Terms

This ToS constitutes a legally binding agreement between you and MRX Xtractors LLC DBA Decimal Engineered Systems, an Oregon limited liability company ("Decimal", "we", "us"). You must be at least 18 years old and authorized to bind your organization (if applicable) to use our services. By using our platform, you confirm compliance with all applicable laws, including those related to cannabis extraction and GMP standards.

2. Cannabis Legality and Customer Authorization

Decimal makes no representation or claim regarding the legality of cannabis, hemp, or any cannabinoid-related activity in any jurisdiction.

By using this website, requesting information, requesting a quote, or purchasing any product or service, you represent and warrant that:

• You are legally authorized to engage in the activities for which you are evaluating or purchasing equipment in your jurisdiction;
• You will comply with all applicable local, state, provincial, federal, and international laws and regulations; and
• You are solely responsible for determining whether the purchase, ownership, installation, and use of any equipment is lawful in your location.

Decimal assumes no responsibility for any legal, regulatory, or compliance consequences arising from your use of information or equipment obtained through this website.

3. Regulatory and Compliance Responsibility

Decimal does not provide legal, regulatory, or compliance advice. Any information relating to GMP, EU GMP, safety standards, or regulatory topics — whether published on this website, included in a quote, or provided in any other communication — is general in nature and is not a certification, an assessment, or a substitute for qualified professional advice.

You are solely responsible for ensuring that your facility, processes, and use of equipment meet all applicable regulatory requirements in your jurisdiction.

4. Website Accuracy and Content Disclaimer

All information, specifications, descriptions, images, pricing, availability, and claims on this website are provided for general informational purposes only and may not be accurate, complete, or current.

• Products, specifications, features, and availability may change without notice and without the website being updated.
• Decimal does not warrant the accuracy, completeness, or reliability of any content on this site.
• You should not rely solely on website content when making purchasing or operational decisions. Always confirm critical details directly with Decimal.

5. Orders, Payment, and Product Availability

• Order Acceptance: Orders are subject to acceptance by MRX Xtractors LLC DBA Decimal Engineered Systems. We may refuse or cancel for reasons including availability, pricing errors, regulatory compliance, or suspected fraud.
• Product Availability: Products displayed in the store or elsewhere on the website may be out of stock, discontinued, or unavailable even if shown as available. Decimal reserves the right to limit quantities, refuse orders, or cancel orders at its sole discretion. Display of a product does not constitute a guarantee of availability.
• Payment Terms: We accept major credit cards, PayPal, bank wires (for orders over $1,000), and enterprise invoicing (subject to approval). Payments are processed securely via Stripe or similar gateways; we do not store credit card details.
• Pricing and Taxes: Prices are in U.S. dollars and exclude taxes, shipping, duties, or tariffs, calculated at checkout. You are responsible for all taxes and fees.

6. Shipping and Delivery

Refer to our full Shipping Policy, which governs risk of loss and the point at which it transfers, and which controls on that question in the event of any conflict with these Terms. For equipment and consumables intended for GMP use, inspect immediately for compliance issues.

Shipping timelines are estimates only. Any shipping timelines, lead times, or delivery estimates provided on the website, in quotes, or in any communication are estimates and are not guaranteed. Actual shipping and delivery times may vary due to manufacturing schedules, carrier delays, customs, weather, supply chain issues, or other factors beyond Decimal's reasonable control. Decimal is not liable for delays in delivery.

7. Returns and Refunds

Custom equipment, configured systems, and special orders are non-returnable under all circumstances.

Returns on website parts & supplies purchases are accepted only as expressly described in our Refund Policy, and non-defective returns may incur restocking fees.

Outside the returns expressly offered in the Refund Policy, all sales are final. Returns are not accepted except where required by applicable law or where Decimal has expressly agreed in writing to a return or exchange.

8. Product and Service Use

• Intended Use: Products (e.g., extraction equipment, consumables) and services (e.g., consulting, support, AI tools) are for professional B2B use in GMP cannabis extraction. You are responsible for compliance with federal, state, and local laws (e.g., FDA, DEA, cannabis regulations).
• Safety and Compatibility: Equipment is designed for specified voltages and GMP standards. Misuse, modification, or non-compliant operation voids warranties and releases us from liability. Equipment warranty coverage is described in the Equipment Warranty Summary and in the applicable executed order documents.
• Multi-Facility Support: For MSOs, services track per facility; you must ensure regulatory compliance across locations.
• ADA Compliance: Our platform strives for accessibility under the Americans with Disabilities Act (ADA). If you encounter issues, contact support for accommodations.

9. No Warranty Beyond Express Written Terms

Except as expressly stated in a written agreement signed by Decimal, all products and services are provided "as is" and "as available."

Decimal disclaims all other warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Where equipment warranty coverage applies, it is defined by the Equipment Warranty Summary and the applicable executed order documents, which control.

10. Limitation of Liability

To the maximum extent permitted by law:

• Decimal's total liability arising out of or related to any product, service, or use of this website shall not exceed the amount actually paid by you to Decimal for the specific product or service giving rise to the claim.
• In no event shall Decimal, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of business, downtime, or regulatory penalties, even if advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. See also our Release of Liability.

11. Indemnification

You agree to indemnify, defend, and hold harmless MRX Xtractors LLC DBA Decimal Engineered Systems, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the website or any products or services;
• Your violation of these Terms;
• Your violation of any law or regulation; or
• Your failure to obtain any required licenses, permits, or authorizations in your jurisdiction.

12. Intellectual Property

All content (text, images, designs, AI outputs) is owned by MRX Xtractors LLC DBA Decimal Engineered Systems and protected by copyright/trademark laws. Unauthorized use is prohibited.

13. Governing Law and Dispute Resolution

These Terms and any dispute between you and MRX Xtractors LLC DBA Decimal Engineered Systems are governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles.

Disputes are resolved via binding arbitration in Clackamas County, Oregon, per American Arbitration Association rules. No class actions.

For any claim that is not subject to arbitration, or to enforce an arbitration award, you and Decimal consent to the exclusive jurisdiction and venue of the state and federal courts located in Oregon.

14. Changes to Terms

We may update these terms; continued use constitutes acceptance.
